UBIX Innovations Inc, ("UBIX") is committed to protecting personal privacy. This privacy statement applies to personal information we gather about you when you register for and participate in the Ubix Loyalty Program (the “miirewards”) through your participating retailer (“Retailer”).

What kind of personal information do we gather?

When you sign up for a Loyalty Program account through your Retailer, UBIX collects only the personal information you need to provide to participate and benefit from the Loyalty Program (i.e. name, email address, birthdate) as well as any other personal information that you volunteer (i.e. address, survey demographic information). We also collect information about your Loyalty Program account activity. This information helps us to tailor Loyalty Program offerings to your tastes. We also use this information, together with information about our other Loyalty Program members, on an anonymous, aggregated basis, to develop and improve our Loyalty Program generally. Except as otherwise described in this privacy statement, UBIX will not divulge any of your personal information to a third party other than your Retailer without your permission.  You must keep your account registration information current. Please contact UBIX and your Retailer to update your account registration information in the event of any changes.

How do we use your personal information?

We may use personal information you provide to us to administer your participation in the Loyalty Program and to communicate with you about the Loyalty Program and your Retailer. We also use your personal information for billing and other administrative services. We also may contact you about UBIX and third-party services and promotions. Our site and email communications may also contain links to subscribe, or opt in, and receive special information and publications. For example, we may sponsor an email newsletter, and you may subscribe to this email and other communications from UBIX. Any email communication we send will contain an option to opt out of future communications. UBIX may occasionally conduct user surveys to better target our content to our audience. We sometimes share the aggregated demographic information in these surveys with our sponsors, advertisers, and partners. We may provide information, in response to properly made requests, for the purposes of the prevention and detection of crime, and the apprehension or prosecution of offenders. We may also provide information for the purpose of safeguarding national security. In either case we do so in accordance with the relevant data privacy laws. We also provide information when required to do so by law or in response to properly made demands, under powers contained in legislation. In addition, we may also use or disclose your personal information as permitted by law to exercise our rights under contract and at law.

Unless there is a specific legal requirement for us to keep the information, we will keep it for no longer than is needed for the purposes for which the data was collected or for which it is to be further processed.

The security of your information is important to us. We take appropriate organizational and technical security measures to protect your data against unauthorized disclosure or processing. We use a secure server to store the information you give us when you register. Any personal data you send us on-line is securely stored. However, no security systems are impenetrable. We cannot guarantee the security of our database, websites or services, nor can we guarantee that the information you supply will not be intercepted while being transmitted to us over the Internet. We are not responsible for the actions of third parties.

Terms of Use

UBIX LOYALTY PROGRAM
TERMS AND CONDITIONS GOVERNING END USER PARTICIPATION

The following agreement describes the terms and conditions that apply to your participation in the UBIX Loyalty Program. By using the virtual card (“Card”) issued to you upon enrolling in the UBIX Loyalty Program, you agree to the terms of this agreement. If you do not accept the terms and conditions of this agreement, you must notify your Retailer immediately and you may not use the Card. Please keep a copy of this agreement for your records.

Enrolling in the UBIX Loyalty Program

UBIX operates a loyalty program (“Loyalty Program”) for your Retailer. A fuller description of the features of the Loyalty Program is available at [www.miirewards.com]. Upon acceptance of your application for enrollment, UBIX will issue you a virtual Card with a barcode which is associated with a unique account number.

To enroll in the Loyalty Program, you must provide your name, your email address and birthdate. By providing your registration information, you are consenting to the collection and use of your personal information by the Retailer and UBIX in accordance with this agreement, which includes our Privacy Policy. See our “Privacy Statement” below. Please notify us immediately if you change any of your registration information.

Loyalty Points

You may collect points on your Card with qualifying purchases from your Retailer. Once you collect a certain number of points, your Retailer may send you coupons or other promotional offers, at your Retailer`s discretion, which may be subject to conditions or limitations described in the coupon or promotional offer. For certainty, these points have no monetary value. Any coupons or promotional offers extended to you by your Retailer expire on the date stated in the coupon or offer.

Prepaid Gift Cards

If your Retailer has elected to make this feature is available to you, you may load a dollar value on to your Card for future purchases from your Retailer. The dollar value that you load onto your Card is a prepayment only for the goods and services of your Retailer. No credit card, credit line, overdraft protection or deposit account is associated with a Card. Unless otherwise required by law or permitted by this agreement, any amount on your Card is non-refundable and may not be redeemed for cash. No interest, dividends or any other earnings on funds deposited to a Card will accrue or be paid or credited to you by Your Store. The value associated with the Card is not insured by the Canadian Deposit Insurance Corporation (CDIC). All amounts loaded onto your Card are held and denominated in Canadian dollars.

In Canada, you can load a dollar value on the Card by using a credit card, debit card or cash with your Retailer. You may not load more than $100 worth of value to your Card. The minimum amount that must be loaded onto your Card is $5. At our sole discretion, we may change the maximum and minimum amounts at any time by notifying you at the point of sale or on our web site. Once the dollar value is loaded, the transaction cannot be reversed.

Both your Retailer and UBIX reserve the right not to accept any Card or otherwise limit use of a Card if we reasonably believe that the use is unauthorized, fraudulent or otherwise unlawful.

Cardholders are not sent statements of itemized transactions from a Card account. You can check the balance of your Card through a smart phone application we make available to you (“App”). You should keep your receipts and check your online statement to ensure that your account balance is correct.

At no time does UBIX ever receive, hold or dispense any money loaded onto the Card. All such money is received, handled and refunded by your Retailer, and UBIX shall have no responsibility for this money.

Tracking Your Activity

You can access your Card`s activity in the Loyalty Program through the App, using a username and password that you create. You must keep your username and password confidential and not share it with anyone.

Because your Card can be used to make purchases from your Retailer, you are responsible for all transactions associated with your Card, including unauthorized transactions. If your Card becomes lost, stolen or damaged, you should your Retailer immediately. Your Card balance is only protected from the point in time you notify your Retailer that your Card is missing. We will freeze the remaining balance on your Card at the time we are notified by your Retailer.

We reserve the right to correct the balance of your Card account if we believe that a clerical, billing or accounting error occurred. If you have questions regarding your transaction history or any correction, or if you dispute any transaction or correction that has been assessed against your Card, please contact your Retailer. Neither we nor your Retailer shall have any liability for any billing error unless you provide your Retailer notice within 60 days of the date of the transaction in question. You should monitor your transactions and account balances closely.

Privacy Statement

By registering for the Loyalty Program, you are consenting to our collection, use and disclosure of your personal information in accordance with this agreement and our Privacy Policy, which forms part of this agreement, for the purposes of administering your participation in the Loyalty Program, enhancing your experience within the Loyalty Program, and exercising our rights under contract and at law. Permitted uses of your personal information include, without limitation, on an ongoing basis, contacting you about your account and contacting you with special communications or offers which may be customized to your location or your consumption patterns.

You understand and agree that, on a confidential basis, the Retailer and UBIX may share your personal information between themselves and, if necessary, their legal and financial advisors for these purposes. If you no longer want to receive any promotional communications from UBIX or your Retailer or want to terminate your participation in the Loyalty Program, please notify UBIX or your Retailer immediately.

Changes to This Agreement

We may amend the terms of this agreement at any time, including any rights or obligations you or we may have. We will notify you of any change, addition or deletion by posting the terms to the modified agreement on our website at [www.miirewards.com] and by email. As permitted by applicable law, any change, addition or deletion will become effective at the time we post the revised agreement to our website or as otherwise stated in our notice to you. Unless we state otherwise, the change, addition or deletion will apply to your future and existing Cards. You are deemed to accept the changes, additions or deletions if (1) you do not notify us to the contrary in writing within 20 days of the date of our notice or such other time specified in the notice, or (2) you use your Card after such notice period. If you do not accept the changes, additions or deletions, your Card will be cancelled. Refunds are the sole and exclusive responsibility of your Retailer and provided at your Retailer’s sole discretion.

Cancellation of This Agreement

We may suspend or terminate this agreement and revoke or limit any or all of the rights and privileges granted to you at any time without notice or liability. Termination may result from your fraudulent or unauthorized use of the Card, and any losses you incur as a result are your sole responsibility. Termination of your Card for fraudulent or unauthorized use of the Card may result in the forfeiture of any amounts remaining on the Card. Again, refunds provided are at the sole discretion of your Retailer.

Waiver of Punitive Damage Claims and Class Actions

You and we both waive, to the fullest extent allowed by law, any claims to recover punitive or exemplary damages and any right to pursue any claims on a class or consolidated basis or in a representative capacity.

Governing Law: Ontario

This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable thereto notwithstanding any conflict of law rules.

Disclaimers and Limits of Liability

To the extent permitted by law, UBIX, your Retailer and our respective affiliates make no representations, warranties or conditions of any kind, express or implied, with respect to the Loyalty Program or your Card, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement, or any warranty arising by usage of trade, course of dealing or course of performance. We do not represent or warrant that your Card(s) will always be accessible or accepted.

Again, at no time does UBIX ever receive, hold or dispense any monies loaded onto the Card. All such monies are received by your Retailer. UBIX shall have no responsibility for you in respect of any such monies.

In the event that UBIX is found liable to you in contract, tort or other theory of liability, to the extent permitted by law, you shall only be entitled to recover actual and direct damages, and such damages shall not exceed the last cash balance held on your Card. We and our affiliates shall have no liability for any incidental, indirect or consequential damages (including without limitation loss of profit, revenue or use) arising out of or in any way connected with this agreement, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, even if we or our authorized representatives have been advised of the possibility of such damages. In no event shall we or our affiliates have any liability for unauthorized access to, or alteration, theft or destruction of a Card through accident, misuse or fraudulent means or devices by you or any third party, or as a result of any delay or mistake resulting from any circumstances beyond our control.

Assignment

We may assign all or part of this agreement without such assignment being considered a change to the agreement, and without notice to you. We are then released from all liability. The assignee shall have the same rights and obligations as the assignor and shall agree in writing to be bound by the terms and conditions of this agreement.

Entire Agreement, Construction

This agreement is the complete and exclusive statement of agreement between you and UBIX, and supersedes and merges all prior proposals and all other agreements. In the event that any provision of this agreement shall be determined to be illegal or unenforceable, that provision will be eliminated to the minimum extent necessary so that this agreement shall otherwise remain in full force and effect and enforceable. Headings herein are for convenience of reference only and shall in no way affect interpretation of this agreement.
